1. Introduction

These Terms & Conditions ("Terms") are a legal agreement between you and Trinity Skills Academy("Trinity Multi Solution", "we", "us", or "our") governing your access to and use of our website, software applications, subscriptions, and related services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms.

2. Acceptance of terms

By creating an account, purchasing a subscription, or otherwise using the Services, you confirm that you are at least 18 years old and have the legal authority to enter into these Terms. If you are using the Services on behalf of an organisation, you represent that you have authority to bind that organisation.

3. Our services

Trinity Multi Solution builds and provides custom software, websites, mobile applications, ERP, POS, school and hospital management systems, accounting software, cloud solutions, and related SaaS products. Specific features, limitations, and pricing are described on the applicable product or pricing page.

4. Accounts and security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must provide accurate and complete information and keep it up to date. Notify us immediately of any unauthorised use of your account.

5. Acceptable use

You agree not to misuse the Services. Prohibited conduct includes, but is not limited to:

• Using the Services for any unlawful purpose or in violation of applicable laws.
• Engaging in fraud, spam, phishing, or deceptive practices.
• Infringing intellectual property rights or other proprietary rights.
• Attempting to interfere with the security, availability, or integrity of the Services.
• Reverse engineering, scraping, or probing the Services without authorisation.
• Uploading malware, viruses, or harmful code.

6. Intellectual property

All software, content, designs, branding, documentation, and other materials provided by Trinity Multi Solution remain our property or the property of our licensors. Subject to these Terms and your active subscription, we grant you a limited, non-exclusive, non-transferable, revocable licence to use the Services for your internal business purposes.

7. Payment, billing, and subscriptions

Payments for our products and subscriptions are processed by Paddle, our online reseller and Merchant of Record. By completing a purchase, you agree to Paddle's Buyer Terms, which govern payment, billing, tax, cancellation, and refund mechanics. Subscription fees are charged in advance on a monthly or annual basis depending on the plan you select.

Paddle disclosure: Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

8. Service level

We use commercially reasonable efforts to make the Services available and reliable. However, we do not guarantee that the Services will be uninterrupted, error-free, or available at all times. Scheduled maintenance, updates, and factors beyond our control may affect availability.

9. Warranties and disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, either express or implied, to the fullest extent permitted by law. We disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of liability

To the maximum extent permitted by law, our aggregate liability arising out of or relating to these Terms or the Services will not exceed the total amount paid by you to us in the twelve (12) months preceding the event giving rise to the liability. We will not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, data, or goodwill, except where liability cannot be excluded by law.

11. Indemnity

You agree to indemnify and hold harmless Trinity Multi Solution and its officers, employees, and agents from any claims, damages, losses, or expenses arising out of your use of the Services, your content, or your violation of these Terms.

12. Suspension and termination

We may suspend or terminate your access to the Services at any time, with or without notice, for material breach of these Terms, non-payment, fraudulent or abusive activity, security risks, or repeated or serious policy violations. Upon termination, your right to use the Services immediately ceases.

13. Governing law and disputes

These Terms are governed by the laws of Nepal, without regard to conflict of law principles. Any dispute arising under these Terms will be resolved in the courts of Kathmandu, Nepal.

14. Changes to these terms

We may update these Terms from time to time. The updated Terms will be posted on this page with the revised date. Continued use of the Services after changes constitutes acceptance of the updated Terms.
